Terms of Service

By contracting the development services offered by Dennys Vera or by using any software, tool, or solution developed, you acknowledge that you have read, understood, and fully accepted these Terms of Service.

If you do not agree with these terms, you must not contract or use the services.

Dennys Vera provides professional software development services focused on technical analysis, strategy automation, and trade management on platforms such as NinjaTrader.

Services include, but are not limited to:

• Development of automated strategies.
• Creation of custom indicators.
• Modification of existing systems.
• Technical support and adjustments based on specifications.

The service consists exclusively of the development of technological tools based on requirements defined by the client.

Dennys Vera is not a financial advisor, does not provide investment recommendations or trading signals, and does not manage third-party capital.

All trading decisions are the sole responsibility of the client.

Development is carried out based on specifications provided by the client.

The client is responsible for:

• Clearly defining requirements.
• Providing complete and accurate information.
• Validating that the development meets the provided specifications.

Any changes or scope extensions may result in additional costs.

The client is responsible for testing the software under real or simulated conditions before using it in live trading environments.

Dennys Vera may perform internal testing but does not guarantee the absence of errors or the system’s behavior under real market conditions.

Technical support is provided for the developed product based on the original specifications.

Support may include:

• Correction of technical errors.
• Minor adjustments.
• Installation assistance.

It does not include:

• New functionalities not originally defined.
• Changes to system logic.
• Adaptations to new market conditions.

Services are provided under a prepaid model, either full or partial, as agreed in advance.

Development will begin only after the corresponding payment has been received.

Payment methods will be agreed upon directly with the client.

Due to the customized nature of the service, no refunds are provided once development has started.

Exceptions may be considered only in cases where there is a genuine technical impossibility to complete the project as requested.

Delivery timelines depend on the complexity of the project and will be estimated at the beginning.

Timelines are approximate and may vary depending on:

• Changes in requirements.
• Technical complexity.
• Client availability for validations.

All information provided by the client will be treated as confidential.

Dennys Vera will not disclose, sell, or reuse any systems, strategies, or ideas provided by the client.

The delivered software is for the exclusive use of the client. Any distribution or commercialization by the client is their sole responsibility unless otherwise agreed.

Dennys Vera shall not be held liable for:

• Financial losses resulting from the use of the software.
• Order execution failures.
• Platform issues (NinjaTrader or others).
• Errors resulting from improper use of the software.

The software is provided “as is,” without guarantees of performance, profitability, or operational continuity.

The client acknowledges that no automated system guarantees positive results in financial markets.

This service is not affiliated with, endorsed by, or officially associated with NinjaTrader LLC or any other financial entity.

The use of third-party platforms is the responsibility of the user.

These Terms of Service are governed by and interpreted in accordance with the laws of the Republic of Costa Rica.

Any dispute, conflict, or claim arising from the contracting or use of the services provided by Dennys Vera shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Costa Rica.

The user acknowledges and agrees that the service is provided from Costa Rica and that any contractual relationship derived from it is subject to the legal framework in force in that country at the time of contracting.

Dennys Vera reserves the right to modify these Terms of Service at any time.

Continued use of the services implies acceptance of such changes.
